These Website Terms of Service ("Terms") govern access to and use of the website located at emerafs.com.au (the "Website"), operated by Emera Facility Services Pty Ltd (ABN 72 644 583 595) ("Emera", "we", "us" or "our"). By accessing or using the Website, the user agrees to be bound by these Terms. A user who does not accept these Terms must not access or use the Website.
1. Scope and relationship to other agreements
1.1 These Terms apply to use of the Website only. They do not govern the supply of cleaning, hygiene, maintenance or other services by Emera.
1.2 Where Emera supplies services to a client, those services are supplied under a separate written service agreement. In the event of any inconsistency between these Terms and an executed service agreement, the service agreement prevails to the extent of the inconsistency in respect of the services.
1.3 These Terms incorporate our Privacy Policy and Cookie Policy, each as amended from time to time.
2. Permitted use of the Website
2.1 The user may access and use the Website for the purpose of obtaining information about Emera and its services, and for submitting enquiries, requests and applications through the facilities provided.
2.2 The user must not use the Website in any manner that is unlawful, that infringes the rights of any person, that interferes with or disrupts the Website or any network connected to it, or that involves the use of any automated process to access, copy or extract content other than for the purpose of standard search engine indexing.
2.3 The user must not attempt to gain unauthorised access to any part of the Website, any account, or any system or network connected to the Website, and must not introduce any malicious code to the Website.
2.4 We may suspend or terminate a user's access to the Website without notice where we reasonably consider that the user has breached this clause.
3. Enquiries and requests submitted through the Website
3.1 An enquiry, site visit request, document request or job application submitted through the Website is an invitation for Emera to respond and does not constitute an offer capable of acceptance, a contract for the supply of services, or an offer of employment.
3.2 No contract for the supply of services arises unless and until Emera and the client execute a written service agreement. Emera may decline to provide a quotation or to accept an engagement at its discretion.
3.3 The user warrants that information submitted through the Website is accurate and that the user is authorised to submit it. Emera may rely on the accuracy of information submitted for the purpose of preparing a quotation or assessing an application.
3.4 A site visit offered through the Website is provided at no charge and imposes no obligation on either party to proceed further.
4. Intellectual property
4.1 All intellectual property rights in the Website and its content, including text, layout, design, graphics, photographs, logos, trade marks and downloadable materials, are owned by or licensed to Emera and are protected by the Copyright Act 1968 (Cth) and other applicable laws.
4.2 The user may view, download and print content from the Website for the user's own internal business purposes, provided that all copyright and proprietary notices are retained and the content is not modified.
4.3 Except as expressly permitted by clause 4.2 or by law, the user must not reproduce, adapt, publish, distribute, licence or commercially exploit any content from the Website, or represent such content as the user's own or as that of a third party, without our prior written consent.
4.4 Nothing on the Website is to be construed as granting any licence or right to use any trade mark of Emera or of any third party displayed on the Website.
5. Information on the Website
5.1 Content on the Website is provided for general information only. It does not constitute professional, regulatory or compliance advice, and it is not a substitute for written advice from Emera in relation to a particular site.
5.2 Guides, checklists and similar materials published on the Website are general in nature and do not take into account the circumstances of any particular site or organisation. Reliance on such materials does not establish or evidence compliance by the user with any standard or legal obligation.
5.3 Statements as to certifications, prequalifications, memberships and insurances held by Emera are correct as at the date of publication. Such instruments are subject to expiry and renewal, and a user requiring current evidence should request a certificate of currency or equivalent documentation from us.
5.4 Case studies and outcome figures published on the Website are derived from client records and are published with the relevant client's consent. They describe results achieved at a particular site and do not constitute a representation or warranty as to results achievable at any other site.
6. Availability of the Website
6.1 We endeavour to make the Website available at all times but do not warrant that access will be uninterrupted or error free. The Website may be unavailable during scheduled or emergency maintenance.
6.2 We may modify, suspend or discontinue the Website or any part of it, including any content or facility, at any time and without notice.
7. Third party links
7.1 The Website may contain links to websites operated by third parties. Those links are provided for convenience only and do not constitute an endorsement of the linked website or its operator.
7.2 We do not control third party websites and are not responsible for their content, availability, or the manner in which they handle personal information.
8. Disclaimers and limitation of liability
8.1 To the maximum extent permitted by law, the Website and its content are provided on an "as is" and "as available" basis, and we exclude all representations, warranties and conditions in relation to the Website other than those expressly set out in these Terms.
8.2 To the maximum extent permitted by law, we are not liable for any loss or damage, whether direct or indirect, arising out of or in connection with the use of, or reliance on, the Website or its content, including any loss of profit, loss of revenue, loss of data or business interruption.
8.3 Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy conferred on the user by the Australian Consumer Law contained in Schedule 2 to the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot lawfully be excluded, restricted or modified.
8.4 Where liability may be limited but not excluded, our liability is limited, at our option, to the supply of the relevant services again or the payment of the cost of having the relevant services supplied again.
9. Indemnity
9.1 The user indemnifies Emera against any loss, damage, cost or expense, including reasonable legal costs, incurred by Emera as a result of the user's breach of these Terms or the user's unlawful or negligent use of the Website.
10. Amendment of these Terms
10.1 We may amend these Terms at any time by publishing the amended Terms on the Website. The version number and date of last amendment appear at the head of this document.
10.2 Continued use of the Website after amended Terms are published constitutes acceptance of those Terms. A user who does not accept the amended Terms must cease using the Website.
11. Governing law and jurisdiction
11.1 These Terms are governed by the laws of the State of Victoria, Australia.
11.2 The parties submit to the non exclusive jurisdiction of the courts of Victoria and of the courts competent to hear appeals from those courts.
12. General
12.1 If any provision of these Terms is held to be invalid, unenforceable or illegal, that provision is severed and the remaining provisions continue in full force and effect.
12.2 A failure or delay by Emera in exercising a right under these Terms does not operate as a waiver of that right.
12.3 These Terms constitute the entire agreement between the user and Emera in relation to use of the Website.
